Publication of Annual Report and Notice of 2011 Annual General Meeting

The Company has today published its Annual Report and Financial Statements for the year ended 27 March 2011 (‘2011 Annual Report’) on its website www.paypoint.com

The Company has also submitted its 2011 Annual Report and its notice of Annual General Meeting to the UK Listing Authority. The documents will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at: The Financial Services Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS.

The Company will hold its 2011 Annual General Meeting on Friday, 15 July 2011 at 12pm at the offices of J.P. Morgan Cazenove, 20 Moorgate, London, EC2R 6DA.

In addition, following the release on 26 May 2011 of the Company’s preliminary results for the year ended 27 March 2011, which are also available at www.paypoint.com, the Company makes the following additional disclosure in compliance with Rule 6.3.5 of the Disclosure and Transparency Rules of the UK Financial Services Authority.

The responsibility statement below has been prepared in connection with the 2011 Annual Report, which is not included within this announcement.

Directors' Responsibility Statement

David Newlands, Chairman, and Dominic Taylor, Chief Executive, on behalf of the Board of the Company, confirm that to the best of their knowledge:

• the financial statements, prepared in accordance with IFRS, give a true and fair view of the assets, liabilities, financial position and profit or loss of the company and the undertakings included in the consolidation taken as a whole; and

• the management report, which is incorporated into the directors’ report, includes a fair review of the development and performance of the business and the position of the company and the undertakings included in the consolidation taken as a whole, together with a description of the principal risks and uncertainties that they face.
